1. Introduction

By accessing or using any services offered by SaaS Impacts GmbH (“we”, “us”, or “our”), including strategic advisory, coaching, and operational consulting for B2B SaaS companies and partners (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please refrain from using our Services.

2. Services & Engagement

  • Nature of Services: We provide strategic and operational advisory services for post-sale functions such as Customer Success, Onboarding, Support, and Revenue Operations.
  • Engagement Terms: Specific scopes, timelines, and deliverables are defined in individual agreements (e.g., proposals, SOWs, or contracts).

3. Payments

  • Fees & Invoicing: All pricing and billing schedules are outlined in your engagement agreement. Fees are quoted in EUR and subject to applicable VAT.
  • Late Payments: Delayed payments may incur a late fee of 5% per month.

4. Confidentiality

Both parties agree to treat all non-public information exchanged as confidential and to use it solely for the purposes of fulfilling the engagement.

5. Intellectual Property

All materials, templates, and frameworks provided by SaaS Impacts remain our intellectual property. Clients are granted a non-exclusive, non-transferable right to use deliverables for internal business use only.

6. GDPR Compliance & Data Privacy

  • Data Processing: We process all personal data in accordance with the EU General Data Protection Regulation (GDPR).
  • Legal Basis: We process personal data based on your consent, contract necessity, legal obligation, or legitimate interest.
  • Data Subject Rights: You have the right to access, rectify, delete, restrict, or port your personal data.
  • Withdrawal of Consent: If processing is based on consent, you may withdraw it at any time without affecting prior processing.

7. Termination

  • By Client: You may terminate services as defined in the agreement.
  • By Us: We reserve the right to terminate engagements for breach, non-cooperation, or non-payment.
  • Upon termination, all outstanding invoices become immediately due.

8. Disclaimers

We provide our services on a best-effort basis. While we bring deep operational experience, SaaS Impacts does not guarantee any specific business outcome, such as revenue increases, retention improvements, or growth metrics.

9. Limitation of Liability

To the extent permitted by Austrian law, our liability is limited to the fees paid to us in the 3 months preceding any claim. We are not liable for indirect or consequential damages.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Austria. All disputes shall be resolved in the Commercial Court of Vienna.

11. Changes to Terms

We may update these Terms from time to time. You will be notified of any material changes. Continued use of our services implies acceptance of the updated Terms.
